Terms of Use

1. Definitions

In these Terms of Use (the "Terms"), the following terms shall have the meanings set out below:

• "amalyon", "We", "Our": refers to the company operating the amalyon SaaS platform, accessible via the primary domain that will be communicated on the public amalyon website.
• "Service": refers to the SaaS platform enabling the generation of WooCommerce mobile applications, together with any associated features.
• "User", "You": refers to any individual or legal entity accessing or using the Service.
• "Application": refers to any mobile application (iOS and/or Android) generated via the Service from WooCommerce data.
• "Content": refers to all data, text, images, information and other elements submitted to or generated via the Service.

2. Description of the Service

amalyon is a Software as a Service (SaaS) platform that enables owners of WooCommerce stores to automatically generate native mobile applications for iOS and Android.

The Service notably includes:

• The automatic generation of a React Native mobile application connected to a WooCommerce store;
• Compilation and distribution of APK (Android) and IPA (iOS) files;
• A dashboard for managing generated applications;
• Real-time tracking of build status;
• An optional subscription for updates and technical support.

We reserve the right to modify, suspend or discontinue all or part of the Service at any time, with reasonable notice except in cases of emergency.

3. Registration and Account

3.1 Access requirements

To use the Service, you must be at least 18 years of age and have the legal capacity to enter into binding contracts.

3.2 Account creation

Access to the Service requires creating an account by providing accurate, complete and up-to-date information. You agree to keep this information up to date.

3.3 Account security

You are solely responsible for keeping your login credentials confidential and for all activity carried out under your account. You must notify us immediately of any unauthorized use of your account.

4. User Responsibilities

By using the Service, you agree to:

• Use the Service only for lawful purposes and in accordance with these Terms;
• Not use the Service to distribute content that is illegal, fraudulent, offensive, or that infringes the rights of third parties;
• Hold all rights necessary over your WooCommerce store and its related content;
• Comply with the terms of use of WooCommerce, the Apple App Store and the Google Play Store;
• Not attempt to circumvent the Service's security measures;
• Not reverse-engineer, decompile or disassemble any part of the Service;
• Not use the Service to send spam or unsolicited communications;
• Assume full responsibility for the content of your generated Applications.

5. Payments and Pricing

5.1 Pricing

The rates applicable to the Service are those indicated on our website at the time of subscription. All prices are expressed in euros (€) and are inclusive of all taxes (VAT included) for consumers.

5.2 Setup fees

The initial project setup and the generation of the mobile application are billed at €199 (VAT included) per application, payable in a single payment before work begins.

5.3 Optional subscription

A monthly subscription of €49 (VAT included) is available to benefit from maintenance, monitoring and compatibility updates. The subscription automatically renews each month until cancelled.

5.4 Store fees and developer accounts

Fees related to Apple and Google Play developer accounts, as well as any publication costs required by the stores, are not included in amalyon's pricing and remain the client's responsibility. This arrangement allows final publication to take place on the client's own accounts, so that the client retains control over its presence on the stores.

5.5 Payment

Payments are processed by Stripe, a third-party payment service provider. By making a payment, you also agree to Stripe's terms of use. We do not store any payment card data.

5.6 Billing

An invoice is issued for each payment and sent to the email address associated with your account.

6. Cancellation and Refunds

6.1 Setup fees

The setup payment is non-refundable once technical work has begun. If generation fails due to a technical error attributable to our platform, a credit or refund may be offered.

6.2 Monthly subscription

You may cancel your subscription at any time from your dashboard. Cancellation takes effect at the end of the current billing period. No pro-rata refund is granted for the remaining period.

6.3 Right of withdrawal (EU)

In accordance with European consumer law, you have a 14-day right of withdrawal from the date of subscription, except for services whose performance has begun with your consent before the expiry of this period.

7. Intellectual Property

7.1 Our intellectual property

The amalyon platform, its source code, interface, text, graphics, logos and other elements are the exclusive property of amalyon and are protected by applicable intellectual property laws. Any unauthorized reproduction is prohibited.

7.2 Your content

You retain all rights to the content you submit to the Service (WooCommerce data, logos, etc.). You grant us a limited, non-exclusive and non-transferable license to use this content solely for the purpose of providing the Service.

7.3 Generated applications

Once the application has been generated, amalyon prepares the handover and assists with publication on the client's developer accounts when available. The source code, generation tools and intermediate technical artifacts remain the property of amalyon, unless otherwise agreed in writing.

8. Limitation of Liability

To the extent permitted by applicable law:

• The Service is provided "as is" and "as available", without warranty of any kind, express or implied.
• We do not guarantee that the Service will be uninterrupted, error-free, or 100% secure.
• We are not liable for data loss, loss of profit, or indirect damages resulting from the use of, or inability to use, the Service.
• Our total liability to you shall not exceed the amount paid during the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities, so the above limitations may not apply to you.

9. Privacy and Personal Data

The collection and processing of your personal data are governed by our Privacy Policy, which forms an integral part of these Terms. By using the Service, you agree to this policy.

10. Termination

10.1 By you

You may terminate your account at any time by contacting us at contact@amalyon.eu. Termination takes effect within 30 days of your request, to allow time to process any applications currently being generated.

10.2 By us

We reserve the right to suspend or terminate your account without notice in the event of a breach of these Terms, fraudulent activity, or non-payment.

10.3 Effects of termination

Upon termination, your access to the Service ceases immediately. Your data is retained for 90 days before permanent deletion, unless otherwise required by law.

11. Amendments to the Terms

We reserve the right to amend these Terms at any time. In the event of a substantial amendment, we will notify you by email at least 30 days before the new terms take effect. Your continued use of the Service after notification constitutes acceptance of the new terms.

12. Dispute Resolution

12.1 Amicable resolution

In the event of a dispute, we encourage you to contact us first to seek an amicable solution. You may write to us at contact@amalyon.eu.

12.2 Mediation

In accordance with European regulations, you may have free recourse to a consumer mediator. The European online dispute resolution platform is accessible at ec.europa.eu/consumers/odr.

12.3 Governing law

These Terms are governed by French law. In the event of a dispute that cannot be resolved amicably, the French courts shall have jurisdiction.
